Varieties of Franchise Rental Factory (Minghong is Party A, Franchise Rental Factory is Party B) |

Following the common principle of developing the rental business in China, each party shall play its advantages and cooperate to achieve mutual benefits.

Entrusting-Acting Rent or cooperation with Minghong is all applicable as long as Party B is independent legal person.

Ways to join |
| 1 |
Sign the contract of Franchise Rental Factory |
|
Rights: |
| （1） |
Party A shall have the right to accept user’s comment on the rental products and then inform Party B in time;
|
|
（2）
|
Party A shall have the right to demand Party B that once Party B agrees to deliver the rental products, it shall deliver rental products of good quality, enough quantity in time to the place that Party A points out. If any customer appeals, Party B shall solve the problem immediately;

| （3） |
Party A shall have the right to give promissory suggestion to the price of Party B’s rental products in certain and necessary situation;
|
| （4） |
Party A shall have the right to check the quality of Party B’s products and services. |
| （5） |
Party A shall protect Party B’s reputation in the period of cooperation. |
|
Responsibilities: |
| （1） |
Party B shall have the responsibility to give training in technical knowledge of entrusting-acting rent to Party A’s employees;
|
| （2） |
Party B shall report to Party A of the rental products’ stock in time; |
| （3） |
Party B shall be in charge of the services, exchange and maintenance of the products. Party B shall take responsibilities of the law affairs after Party B rents out the products;
|
| （4） |
Party B shall pay the franchise fee in time; |
| （5） |
Party B shall protect Party A’s reputation in the period of cooperation. |

Franchise rental factory is independent legal person and only has the relationship of franchise with Minghong. Except for responsibilities by the contract, no other related responsibilities exist.

Conditions for Franchise rental factory |
| 1 |
Have adequate acknowledge and promotion ardor for rental business; |
| 2 |
Have adequate capital and material condition; |
| 3 |
Have no less than 500,000 of year turnover in rental business; |
| 4 |
Franchise rental factory shall be independent body corporate and has a good management and reputation;

Measures for franchise rental factory |
| 1 |
Fill in the applicant table according to the facts; |
| 2 |
Hand in business license, corporation legal person code certificate, tax register certificate, photocopy of legal person’s identity card;

| 3 |
Get reply of agree or disagree in three workdays generally; |
| 4 |
If allowed, both parties sign the Contract of Minghong Entrusting-Acting Rent |
